Let him knock out Cloud and Barret and then once he stops attacking just have Aeris physically attack. If you managed to get 4 Deadly Wastes from Smoggers earlier then use that on him and double up with physical attacks by Aeris.

If she has Sadness status then it won't kill her, allowing her to toss an Elixir at the boss and kill it. Don't revive Cloud or Red before this battle.
